The terms that govern use of the Syncognify website and engagement of our professional services.

1. Agreement
By accessing https://www.syncognify.com or engaging Syncognify for services, you agree to these Terms & Conditions. If you are accepting on behalf of a company, you confirm you have authority to bind that company. If you do not agree, do not use the site or engage our services.
2. Services
We provide digital agency services including web design, web development, CRM development, WordPress development, custom software, AI automations, chatbot development, and digital marketing. Specific deliverables, timelines, fees, and scope are defined in a written proposal, statement of work (SOW), or invoice you accept. Website content is general information and does not itself constitute a contract.
3. Client responsibilities
You agree to provide timely feedback, access, content, and decisions needed for delivery; ensure you have rights to materials you supply; and designate a primary contact. Delays on your side may shift timelines. You are responsible for the accuracy of information you provide.
4. Fees and payment
Fees are as quoted in your proposal or SOW, typically in USD unless otherwise stated. We may require a deposit before work begins and milestone or final payments as agreed. Late or unpaid invoices may pause work. Prices on the website are starting ranges and do not include taxes, third-party licenses, or out-of-scope work unless specified.
5. Intellectual property
Upon full payment for a phase or project, you own the custom deliverables created specifically for you (source code, designs, and documentation we produce for that engagement), unless otherwise agreed in writing. We retain ownership of our pre-existing tools, frameworks, libraries, and know-how. We may showcase anonymized or approved work in our portfolio unless you request otherwise in writing.
6. Third-party services
Projects may rely on third-party platforms (hosting, CMS, payment, AI APIs, analytics, etc.). Those services are subject to their own terms. We are not responsible for outages, policy changes, or fees charged by third parties.
7. Revisions and change requests
Revision rounds included in your package or SOW are described there. Work beyond agreed scope is billed as change requests or a new estimate. We will notify you before starting out-of-scope work when practical.
8. Warranties and disclaimer
We perform services with reasonable professional care. Except as required by law, the website and services are provided "as is" without warranties of uninterrupted availability, fitness for a particular purpose, or non-infringement of third-party tools. Results (traffic, rankings, revenue) depend on many factors outside our sole control and are not guaranteed unless expressly stated in writing.
9. Limitation of liability
To the fullest extent permitted by law, Syncognify's total liability arising from any engagement shall not exceed the fees you paid us for the specific phase or project giving rise to the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.
10. Confidentiality
Both parties agree to keep confidential business information shared during an engagement and not disclose it to third parties except as needed to perform the work or as required by law.
11. Termination
Either party may terminate an engagement as described in the SOW (for example, for material breach after notice). You remain responsible for fees for work completed and approved expenses through the termination date. Deposit and refund treatment is described in our Refund Policy.
12. Website use
You may not misuse the site (including scraping, introducing malware, or attempting unauthorized access). Content on the site is owned by us or our licensors and may not be copied for commercial use without permission.
13. Governing law
These terms are governed by the laws applicable to our place of business as stated in your SOW, or if none is stated, by laws appropriate to a remote professional services engagement with international clients. Disputes should first be raised in good faith via email before formal proceedings.
14. Changes
We may update these Terms from time to time. The "Last updated" date will reflect changes. Continued use of the site after updates constitutes acceptance where permitted. Active project SOWs control over conflicting website terms for that engagement.
